Mutual Commitments Mutual Commitments Agreement This Mutual Commitments Agreement (the "Agreement") is made between Quantum Business Solutions (the "Seller") and(the "Client")(The client is the company paying for the services from Quantum Business Solutions, LLC, if not otherwise outlined). The parties agree as follows:
1. The Vendor will provide the Client with the services outlined within this proposal.
2. The Client agrees to pay the Seller for the services provided in accordance with the Payment Schedule.
3. The Seller agrees to use its best efforts to provide the services in a timely and professional manner.
4. The Client agrees to provide the Seller with reasonable access to necessary personnel, information, and resources to enable the Seller to provide the services.
5. The Client agrees to cooperate with the Seller in good faith to ensure that the objectives of this Agreement are met.
6. The Client agrees to attend scheduled meetings and understands that failure to attend scheduled meetings will result in project delays and progress.
7. The Client agrees to provide notification if unable to attend scheduled meetings and understands that although the Seller will try to accommodate rescheduling requests, rescheduled sessions are not guaranteed.

8. Once Vendor has started working on Client's portal, Vendor reserves the right to issue a refund which will be decided on a case-by-case basis at Vendor’s sole discretion. 

9. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control.
10. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
The arbitrator shall be empowered to award any relief that would be available in court, including monetary damages, injunctive relief, and attorney's fees.
Terms & Pricing will be found as a detailed breakdown of the financial terms needed to employ Quantum for the outlined services on the quote or document paid upon. A payment to Quantum or a Signature will execute the contract. Once a contract has been executed, Quantum requires a minimum 90-day commitment. Contract cancellations after the initial 90-day commitment must be provided in writing and provide a minimum 60-days' notice.
Payment Schedule You will receive a separate Quote/Payment link where you will submit payment via ACH or credit card. Quantum will automatically bill you monthly for your retainer fee. By signing this agreement, you are agreeing to the terms outlined in the Quote/Payment link. If a payment fails to go through, we will hold off on weekly meetings and delivery of services until payment issues are resolved. Contract Details This Business Proposal Contract (the “Contract”) outlines the terms and conditions that govern the contractual agreement between Quantum Business Solutions and (Client). Both Quantum Business Solutions and (Client) agree to be bound by the terms laid out in this Business Proposal Contract. WHEREAS, the Seller agrees to produce the outlined services and WHEREAS, the Purchaser agrees to purchase the outlined services according to the terms and conditions laid out in this contract. THEREFORE, in consideration of the mutual agreement made by the parties hereto, the Seller and the Purchaser (individually, each a “Party” and collectively, the “Parties”) agree to the following:
1. Services Purchased The Purchaser hereby agrees to purchase the amount and type of the Services outlined in the Business Proposal Contact.
2. Payment The Purchaser hereby agrees to render payment for the amount and type of the Services outlined in the Business Proposal Contract.
3. Default Any failure to meet payment due dates outlined on the payment schedule attached shall be considered a full and material breach of this Business Proposal Contract.
4. Modification There will be no modification of the Business Proposal Contract unless it is agreed to in writing by both Parties.
5. Applicable Law The Business Proposal Contract and its terms are governed by the laws of the state of South Dakota. This contract is subject to the exclusive jurisdiction of both the federal and state courts located in South Dakota.
