Mutual Commitments Agreement

Mutual Commitments

This Mutual Commitments Agreement (the “Agreement”) is made between Quantum Business Solutions, LLC (the “Seller”) and (client name) (the “Client”).

The parties agree as follows:

  • The Seller will provide the Client with the services outlined within this Proposal.
  • The Client agrees to pay the Seller for the services provided in accordance with the Payment Schedule as listed below.
  • The Seller agrees to use its best efforts to provide the services in a timely and professional manner.
  • The Client agrees to provide the Seller with reasonable access to necessary personnel, information, and resources to enable the Seller to provide the services.
  • The Client agrees to cooperate with the Seller in good faith to ensure that the objectives of this Agreement are met. The Client agrees to attend scheduled meetings and understands that failure to attend scheduled meetings will result in project delays and progress.
  • The Client agrees to provide advance notice if unable to attend scheduled meetings and understands that although the Seller will try to accommodate rescheduling requests, rescheduled sessions are not guaranteed.
  • Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control.

Terms & Pricing

Above, you will find a detailed breakdown of the services to be provided by Quantum and client agrees to employ Quantum for these outlined services. Client understands and agrees they are engaging the Seller for the services for a minimum of 12 months, if not stated explicilty in the Quote associated with the payment. Any permitted termination must be submitted in writing and is effective 60 days after the notice is approved and received by the Seller.

Payment Schedule

As part of the proposal, you have received a Quote/Payment link where you will submit payment via ACH or credit card.

Quantum will automatically bill you monthly for your retainer fee.

By using the provided Quote/Payment Link and when you input your payment information, you are agreeing that you have read the terms and are bound by them and by this agreement. If a payment fails to go through, Quantum will hold off on weekly meetings and delivery of services until payment issues are resolved.

Contract Details

  • Default: Any failure to meet payment due dates outlined on the payment schedule attached shall be considered a full and material breach of this Agreement.
  • Modification: There will be no modification of this Agreement unless it is agreed to in writing by both Parties.
  • Compliance: Client will comply with any and all applicable federal, state or local laws and regulations related to the use of our products and services, including without limitation the Telephone Consumer Protection Act. Further, Client will indemnify and hold Quantum, its owners and agents harmless from and against any and all claims, demands, regulatory proceedings and all damages, costs (including, without limitation, settlement costs) and expenses (including reasonable attorneys’ fees) arising from any claim pertaining to or arising from:
    • (i) Quantum’s authorized use of materials provided to Quantum by Client;
    • (ii) the acts or omissions of Client and its employees, agents, and representatives, including those acts or omissions that breach the representation in the first sentence of this section; and
    • (iii) the Client’s use of Quantum’s services or products.
  • Applicable Law: This Agreement and its terms are governed by the laws of the state of South Dakota.
